These Terms of Service ("Terms") govern your access to and use of the websites, applications, tools, and services provided by S23 Innovative Strategies LLC ("S23," "we," "us," or "our"), including without limitation the s23ventures.com website and any affiliated brands, content operations, and internal tools (collectively, the "Services").

1. About S23

S23 Innovative Strategies LLC is a limited liability company organized under the laws of the State of Wyoming and registered to do business in the State of Washington, with a mailing address at 1625 E 72nd St #700-246, Tacoma, WA 98404.

2. Description of Services

S23 operates a portfolio of content-driven businesses, digital assets, and internal tools, including but not limited to:

• Affiliate commerce operations (including TikTok Shop affiliate content)
• Content creation, scheduling, and distribution systems
• Niche directory and marketplace platforms
• Personal brand and media ventures

The Services may include websites, web applications, scheduling tools, APIs, and other software and content we make available from time to time. We may add, modify, or discontinue features at our discretion.

3. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

4. Accounts

Some features require you to create an account. You agree to:

• Provide accurate, current, and complete information
• Keep your account credentials confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

We may suspend or terminate accounts that violate these Terms or applicable law.

5. Acceptable Use

You agree not to:

• Use the Services in violation of any law, regulation, or third-party right
• Upload, post, or distribute content that is illegal, infringing, defamatory, harassing, fraudulent, or malicious
• Attempt to gain unauthorized access to the Services, systems, or other users' accounts
• Interfere with, disrupt, or overload the Services or their infrastructure
• Reverse engineer, decompile, or attempt to extract source code, except to the extent expressly permitted by law
• Use the Services to send unsolicited communications or spam
• Use automated systems (bots, scrapers, etc.) to access the Services except as we expressly authorize
• Circumvent any security measures or access controls

6. Third-Party Platforms

The Services integrate with third-party platforms including, without limitation, TikTok, Meta (Facebook and Instagram), YouTube, X, and LinkedIn. Your use of those platforms is governed by their respective terms of service. You are responsible for complying with the terms of any third-party platform you connect to the Services, including content guidelines, API usage limits, and disclosure requirements for sponsored or affiliate content.

We are not affiliated with, endorsed by, or sponsored by any third-party platform. Platform availability, functionality, and access may change without notice, and we are not liable for any such changes.

7. User Content

7.1 Ownership

You retain ownership of any content you upload, post, or transmit through the Services ("User Content"). You are solely responsible for your User Content and the consequences of publishing it.

7.2 License to S23

By submitting User Content, you grant S23 a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, and distribute that content solely as necessary to provide the Services at your direction (for example, to schedule and publish a post to a connected social account).

7.3 Representations

You represent and warrant that you own or have all necessary rights to your User Content, and that publishing it through the Services will not violate any law or infringe any third-party rights (including intellectual property, privacy, publicity, or confidentiality rights).

8. Intellectual Property

The Services, including all underlying software, designs, text, graphics, logos, trademarks, and other materials (excluding User Content), are owned by S23 or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for their intended purpose and subject to these Terms. No other rights are granted.

9. Fees and Payment

Certain Services may be offered for a fee. Pricing, billing terms, and refund policies will be disclosed at the point of purchase. Unless expressly stated otherwise, all fees are non-refundable. You are responsible for any applicable taxes.

10. Affiliate Disclosure

S23 participates in affiliate programs, including TikTok Shop and other affiliate networks. When you interact with content published through the Services, we may earn commissions on qualifying purchases. We will disclose material connections and sponsored content in accordance with applicable law, including FTC guidelines.

11. Disclaimers

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content or results obtained through the Services.

12. Limitation of Liability

In any event, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to S23 in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless S23 and its officers, members, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if you violate these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination (including sections 8, 11, 12, 13, 15, and 16) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict of laws principles. The federal and state courts located in Pierce County, Washington have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services, and you consent to personal jurisdiction in those courts.

You and S23 agree that any legal action must be commenced within one (1) year after the cause of action arose, or it will be permanently barred.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Effective" date at the top and, where appropriate, by providing additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

17. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and S23 regarding the Services and supersede any prior agreements.
• Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any right or provision does not waive that right or provision.
• Assignment. You may not assign these Terms without our written consent. We may assign freely.
• No Partnership. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and S23.
